How Illinois Tire Shops Sell
Owner playbook for Illinois tire shops: licenses, how buyers recast the books, and a confidential planning range. No upfront listing fee.
Confidential • No upfront fees • Illinois statewide
Buyers price an Illinois tire shop on adjusted seller’s discretionary earnings after they normalize the books — not on a rumor multiple. No statewide tire-dealer license. Planning range: 2x–3.5x SDE.
How tire shops actually sell in this state
Waste-tire rules and outdoor storage fights are the Illinois-specific items independent repair shops do not always have. Collar-county dealer service departments steal alignments; downstate shops can still live on farm and truck tires. This is not a collision DRP file and not a full mechanical shop unless the recast says so.
Illustration: a four-bay tire-and-alignment shop in Joliet with a mid-tier supplier program, a modest fleet book, and a seller who still mounts Saturdays. Not a closed sale.
Planning range on this site: 2x–3.5x SDE. Typical process when books, the lease, and licenses are ready: 4–9 months. Those are ranges from our industry notes, not a quote for your shop. Typical first calls: tire industry operators, auto service chains, owner-operators. SBA 7(a) is commonly available for qualified buyers, which expands the owner-operator pool. The current statutory maximum is $5 million. See the SBA 7(a) program page. Marketplace-wide, BizBuySell’s Q2 2026 Insight Report showed a 2.7× cash-flow multiple across all reported closed deals — context, not a tire shop appraisal.
Recast a tire shop the way a lender will
Tire-shop recasts on unit margin plus service-bay attach (alignments, brakes), not a wholesale fleet dump. Add back owner-tech hours, then isolate a municipal-bid year and any manufacturer spiff that will not repeat. Inventory is working capital and aged sizes are not cash. A 2x–3.5x SDE band assumes bays and a brand relationship, not only a pile of tires.
Levers that move the multiple on this vertical: Service-bay attach that is not only mounts and balances; A supplier program the buyer can keep; Clean waste-tire file and legal outdoor storage; Fleet accounts that are contracted; Equipment that still calibrates. Flip those and you have the diligence fight.
No statewide mechanic license. Environmental accounts still close the deal.
Illinois does not issue a statewide mechanic license. ASE is voluntary. Municipal business licenses, waste-oil and refrigerant discipline, and — for fuel sites — underground-storage-tank and Illinois EPA files are the live items.
Gas stations and c-stores with fuel need environmental diligence a lender will not waive. Car-wash and dealership files often split real estate from operations. Those are different buyers.
File Illinois Form CBS-1 at least ten business days before an asset transfer that meets the statute. Chicago and Cook County add 45-day local bulk-sale clocks when they apply.
Who writes a check for an Illinois tire shop
Tire industry operators, auto service chains, owner-operators show up first. City pages on this site (Chicago, Naperville, Joliet, and the rest) explain how that mix changes by county. A platform and an owner-operator do not underwrite the same file.
Buyers pay for transferable cash flow and a business that is not only the seller. They will argue brand affiliation, service bay count, equipment condition, commercial account revenue. A public asking price on a recognizable storefront is a choice, not a default.
What a serious tire shop buyer will open
Have these ready before anyone hears the name of the tire shop:
- Tire-unit margin versus service-bay attach
- Inventory age, size mix, and supplier program assignability
- Waste-tire and used-oil environmental file
- Alignment rack and balancer condition
- Fleet or municipal accounts on paper
- Lease, stacking, and outdoor-storage zoning
Where tire shops lose a letter of intent
The usual walk items are owner dependency, a license that leaves, books that do not match the tax return, or a lease the landlord will not assign. On this vertical the specific fights are: service-bay attach that is not only mounts and balances; a supplier program the buyer can keep; clean waste-tire file and legal outdoor storage; fleet accounts that are contracted; equipment that still calibrates.
Re-paper municipal licenses and waste or UST accounts before the first Monday after close. Illinois Form CBS-1 is due at least ten business days before an asset transfer that meets the statute.
What to gather before anyone hears the name
Three years of signed business tax returns and matching P&Ls. Year-to-date numbers and three months of bank statements that reconcile. The current lease, amendments, and remaining term. A license and permit list that names who holds each card. Top-customer concentration with names redacted until an NDA.
Then recast.

Illustration only — not a quote for any Illinois shop. A tire shop whose tax return shows $153,000 of net profit is not worth $153,000 × a rumor multiple.
Add back the owner’s $45,000 W-2 and payroll tax, $15,000 of discretionary benefits, $2,500 of accepted one-time cost, and $8,500 of personal expenses that a buyer will not run. Then subtract $69,000 of replacement labor if the owner still diagnoses, sells, or closes the books.
Adjusted seller’s discretionary earnings are $155,000. At the planning range 2.0x–3.5x, enterprise value is $310,000 to $542,500. Mid-range 2.75x is $426,250 before debt, working capital, holdback, and tax. A Illinois buyer will argue the multiple after they ride with the staff and read the lease.
Which licenses stay with the owner
No statewide tire-dealer license. IEPA waste-tire rules and municipal business licenses apply. Used-tire and scrap-tire handling is an environmental file. If they do mechanical work, treat the bays like an auto-repair shop for waste oil and refrigerant. Supplier programs (Michelin, Goodyear, discount warehouses) are account appointments, not automatic assignments.
A worked tire shop recast — not a quote
This table is a planning illustration for an Illinois tire shop. It is not a closed sale and not an appraisal of any shop.
SDE line items
- Reported net profit (tax return, not the marketing P&L)
- + Interest expense
- + Income taxes (not payroll, sales, or property tax)
- + Depreciation and amortization
- + Owner W-2, bonuses, and payroll taxes on the owner
- + Discretionary owner benefits that a buyer will not keep (auto, personal travel, family on payroll with no role)
- + Accepted one-time or non-recurring expenses
- − Market-rate replacement labor for owner work that will not transfer
- = Seller’s Discretionary Earnings (SDE)
| Net profit | $153,000 |
|---|---|
| Owner W-2 | $45,000 |
| Benefits | $15,000 |
| One-time | $2,500 |
| Personal | $8,500 |
| Replacement labor (subtract) | −$69,000 |

How to prepare an Illinois tire shop for sale
- Recast the tax return. Start with signed returns. Add owner pay and one-time costs. Subtract replacement labor if the seller still does the work a buyer must hire for on this tire shop.
- Name the license holder. List every credential that lets the company operate and whether that person stays. Personal licenses do not transfer with the assets.
- Open the lease and the labor file. Remaining term, assignment rules, and whether the crew can run Monday without the seller.
- Calendar Illinois notices. File CBS-1 at least ten business days before a qualifying asset transfer. Add Chicago or Cook 45-day clocks when they apply.
- Talk before you list the name. Confidential outreach first. Employees and landlords recognize storefronts. A success-fee consult is how we start — no upfront listing retainer.

Questions owners ask about tire shops in Illinois
Our planning range is 2x–3.5x SDE. BizBuySell’s Q2 2026 Insight Report showed a 2.7× cash-flow multiple across reported closed deals in all industries — useful context, not a tire shop appraisal. The multiple moves on brand affiliation, service bay count, equipment condition, commercial account revenue.
Plan on 4–9 months when books, the lease, and licenses are ready. License transfers and landlord consent are what push files past that range.
Tire industry operators, auto service chains, owner-operators. City pages on this site explain how that mix changes by county.
Buyers start with seller’s discretionary earnings, then apply a planning range around 2x–3.5x SDE. That is a statewide starting point, not an appraisal. The lease, licenses, and how much of the book depends on the owner move the number more than a rumor multiple.
Most prepared Main Street sales take about six to twelve months. Clean books and an assignable lease help. License transfers and landlord consent are what add weeks.
No statewide tire-shop license. Environmental handling of scrap tires and waste oil is a diligence item. Manufacturer and wholesale accounts may need approval to assign.
Tires and wheels are usually a separate true-up. Do not bury a seasonal inventory swell inside a cash-flow multiple.
Yes. Buyers sign a non-disclosure agreement before they see the name. Your staff should not learn the sale from a listing photo. Key people may hear near a signed letter of intent.
