How much can I sell my construction business for in Illinois?

Backlog and bonding sell construction companies. A busy year of owner-led bids is a job with a pickup.

A licensed-broker view of value — not a listing-site guess

General contractors in Illinois sell on backlog quality, bonding capacity, and whether the estimating brain leaves with the seller. A Naperville remodeler who still draws every job is not the same asset as a commercial GC with a PM layer and a bonding line that can survive a change of ownership.

Planning range for general contractors: 3x–5x SDE and 6–12 months. Percentage-of-completion accounting and WIP will get more diligence than a retail shop’s cash register. If your books are cash-basis and jobs span years, budget time for a recast.

Only 5% of Boomer owners in EPI’s readiness research have a documented exit team. Construction owners often have a CPA and an insurance broker, and nobody who has sold a GC before. That gap shows up when the first buyer asks for a bonded backlog schedule.

Industry planning notes on this site: 3x–5x SDE, typical process 6–12 months. Those are planning ranges from our General Contractors hub, not a quote.

Who buys Illinois contractors

SBA and owner-operator lenders

SBA buyers are often PMs or smaller GCs. They need a license plan, insurance, and a bonding conversation that does not start at closing. Lenders will haircut backlog that is really a handshake with a developer who likes the seller personally.

Private equity and platforms

Construction platforms exist. They buy specialty and GC firms with systems, safety files, and a leadership bench. They will QoE your WIP. A PE multiple on an un-audited cash-basis contractor is a hypothesis.

Owner-operators next door

Another contractor buying a complementary trade mix — or a territory — is still common. They want crews, subs, and municipal relationships. They discount the seller’s personal developer friendships.

Public-works and prevailing-wage work has a different buyer than residential remodeling. Say which you are before we write a teaser.

Construction value is backlog you can transfer

Completed-contract surprises kill prices. Bring WIP, bonding, and a license map.

  • Backlog of contracted work and quality of those contracts
  • Bonding capacity and whether the surety will entertain a new owner
  • Illinois and municipal licensing, and who holds them
  • Key PM and estimator retention
  • Equipment ownership versus job-site rentals

Hypothetical: $350,000 SDE at 3.5x is $1.225 million. If $120,000 is a single developer relationship that will not follow, the underwritten SDE is not $350,000. Label the concentration before you pick a list price.

Illinois GC closings: license, Bulk Sales, SOS

Illinois contractor licensing and municipal registrations are person- and entity-specific. Our contractor license-transfer guide is the longer read. The asset purchase agreement will not magic a license onto a buyer who does not qualify.

Equipment and material inventory can trigger Bulk Sales. Secretary of State filings matter in a stock sale or when the buyer wants the exact entity that holds prequalifications. Lease yards and shop space need assignment. Mechanics-lien exposure on open jobs belongs in diligence, not in a warranty the buyer discovers later.

Percentage-of-completion shops that only have cash-basis tax returns will spend the first month of a process translating WIP. Do that translation before you market. A PE letter that assumes audited WIP on a cash-basis GC is a hypothesis you will pay for in exclusivity.

Public-works and prevailing-wage files have a narrower buyer pool and a longer prequalification story. Residential remodelers have a different buyer and a different concentration risk — the next housing pause. Say which you are. A mixed teaser is how both buyer types leave.

Sureties do not work on listing-site time. If bonding is the business, the surety conversation starts before the teaser, not after the LOI. We would rather delay marketing two weeks than watch a letter die because nobody called the bond line.

Mechanics-lien exposure on open jobs is a diligence item owners forget because they “always work it out.” Buyers do not buy “always.” Schedule open jobs, retainage, and any disputes. Silence is a chip.

Key estimator retention is the GC version of owner dependency. If the estimator is you, the backlog is a rumor about the next bid. Price the transition or delay marketing until someone else can bid a job you would recognize.

Retainage sitting on completed jobs is working capital a buyer will argue about. Put it on a schedule with ages. A GC who cannot age retainage is not ready for a QoE, PE or otherwise. That unreadiness is calendar, not personality.

Village and state prequalifications sit with entities more often than owners admit. If the buyer wants the entity to keep those numbers, you are in a stock-sale tax conversation. If they do not, you are in a re-prequal conversation. Pick it before the teaser so the first LOI is not a structure fight.

Educational only — not legal or tax advice. Confirm Bulk Sales, Secretary of State filings, license transfers, and lease assignment with counsel and a CPA. We work on a success fee with no upfront listing fee.

Illinois construction buyers underwrite backlog they can finish without the seller

A construction buyer in Illinois is buying a backlog, a field team, and a name that still gets invited to bid — not a skid-steer photo. Contracted work-in-process underwrites. A folder of estimates does not. Bonding capacity, if you have it, is a credit product that may not follow an asset sale. Customer concentration in one GC or one public body is the first haircut. Owner-superintendent dependency is the second.

SBA lenders will ask how jobs get signed after the seller’s relationships leave the truck. They will also ask about workers’ compensation, subcontractor classification, and whether retainage is real cash or wishful working capital. Neighboring contractors buy adjacent crews and a yard. Larger GCs buy a book they can absorb. Platforms appear when systems exist. A one-superintendent remodeler is rarely that file.

There is no construction-companies industry slug on this site that we will invent, and we will not invent a house construction multiple. Recast SDE, then have a planning conversation against backlog quality and key-person risk. BizBuySell’s Q2 2026 2.7× cash-flow and $692,087 median revenue are market-wide context. Start at /contact.

Licenses, yard lease, Bulk Sales, bonding, and SOS

Illinois does not hand you a single statewide general-contractor card that solves every municipality. Chicago and many suburbs require contractor registration. Specialty trades on your payroll may carry their own state licenses. Those people do not automatically stay, and their licenses do not automatically follow the logo. Map who pulls permits on Tuesday after closing.

Equipment, materials, and a going-concern yard can trigger CBS-1 at least ten business days before transfer. The yard lease — fuel, overnight parking, neighbor complaints — is often slower than a buyer’s equipment walk. Landlord assignment belongs in the LOI. Open jobs need owner, lender, and surety consent that a purchase agreement cannot wish into existence.

If the buyer wants the entity that holds vendor numbers, insurance history, or the exact name, the Secretary of State path opens. That can be cleaner for continuity and slower for diligence. Counsel decides structure. Educational only. We coordinate on a success fee with no upfront listing fee.

Recast construction SDE as jobs that will still close

A defensible recast starts with completed-contract or percentage-of-completion reality, not with a peak year that was one public job. Owner supervision that a project manager must replace is a wage. Equipment repairs, a one-time boom year, and family trucks need footnotes. Adding auction value of the fleet on top of capitalized earnings is the usual fight. Separate operating value from a liquidation schedule.

Backlog is contracted value minus cost to complete, with retainage and punch-list risk tagged. Change-order history tells you whether the margin is repeatable. Customer concentration and a superintendent who is the company are multiple killers. WIP that only the seller can finish is not transferable SDE. Buyers will walk jobs. Let them walk the ones you are proud of.

We will not invent a house multiple. Use market-wide BizBuySell context, then a risk conversation. Your CPA owns tax, look-back, and Form 8594. The SBA 7(a) overview is how many owner-operator buyers fund — not a promise your file fits.

What a construction model should not invent

A model should not invent a house GC multiple, a “typical Illinois contractor price,” or a statewide license that does not exist. It should not treat the $349,250 median sale as your check. It should not call estimates a backlog. We skipped a /industries/construction-companies link because that slug is not a page we will invent.

If a competitor already asked about your crew, treat confidentiality as the product. See /sell-to-a-competitor. A public listing is how supers update résumés mid-job. Confidential outreach is the default. Use /how-long-to-sell-a-business for general clocks — this vertical does not have its own timeline slug.
