Sell to a competitor in Illinois — without handing them the route
The neighboring operator is often the real buyer. They are also the person most able to use your data if the deal dies. Start with a number and an NDA, not with a Saturday coffee and a printout of your customers.

They know the market. That is why they are dangerous.
Competitors close Illinois trades, agencies, and shops because they already understand density, crews, and the landlord. That knowledge can support a stronger price. It can also support a fishing expedition. BizBuySell’s Q2 2026 Insight Report found 35% of owners had no idea of value. A competitor will not share that handicap. Walk in with a recast or do not walk in. Valuation.
Forty-four percent of sellers in the Q4 2025 report wanted a fast or low-stress close (Q4 2025). Calling the one competitor you like can feel like speed. It is speed only if they are funded and you have another path if they stall. A single unpriced conversation is how six months disappear.
EPI’s 5% exit-team figure (EPI) is the reason owners do this alone. A broker, counsel, and CPA is how you keep the Saturday coffee from becoming a customer-list leak. See trade secrets and off-market outreach.
Identity last. Book first. Customers later.
Blind teaser
County, industry, size band. No cross-street, no truck photo, no crew names.
NDA and funds
Signed NDA and a serious-buyer screen before the name. Competitors who refuse both are not buyers.
Recast, then the book
Financials and contract quality before customer-level data. See CBR.
Illinois close
Lease, licenses, Bulk Sales, SOS — same as any other buyer. Familiarity is not a waiver. Bulk Sales.
They are also the person most able to use your data if the deal dies
Should you call your competitor yourself? Usually not first. A competitor who wants your customer list will sound friendly. An NDA and a staged file — financials before names, names before the full book — is how you avoid donating the route. We can make the first call without your identity.
Competitors can pay more, because they know the density and may cut overlapping cost. They can also pay less, because they know every weakness. A second buyer in the process is how you keep them honest. See PE offer review if a platform is also circling, and valuation before anyone’s first number becomes the number.
EPI: 27 percent of Boomer owners have a formal valuation. A competitor’s opening is an opening. Q2 2026 found 35 percent of owners had no idea of value. Walking into a Saturday coffee in that 35 percent is how routes get priced by the person who wants them cheapest.
A Friday rumor is how bays go empty
Employees leave if they hear a competitor is buying. Stay thinking and disclosure timing are part of value. Stage the conversation: one or two leaders if they are the deal, not a shop-wide announcement. See employee retention and employee concerns.
Customers are the asset a competitor already understands. That is why they pay — and why you do not hand them the full book with the first teaser. Proof of funds or a serious LOI before the customer-level file. See diligence and trade secrets. A diligence tourist will ask for the route and then keep their Saturday.
Vendors talk. So do landlords in a small village. Blind teasers first. Named ads are a choice. If you are in a talkative suburb — Naperville, Aurora, Springfield — assume the news travels. See the geo process pages if you want local first-call habits. The screening rule does not change. A competitor who already knows your density will ask for the customer file early and call it diligence. It is not diligence until there is paper — an NDA, proof of funds, and a real letter of intent. Until then it is a tour of your route.
Knowing the village does not waive Illinois filings
A competitor sale still needs Bulk Sales when the asset transfer triggers it. CBS-1 still wants ten business days. The lease still assigns on the landlord’s clock. Person-based licenses still sit with people. See Bulk Sales. Knowing the industrial park is not a filing exemption.
Noncompetes are counsel work. What is enforceable in Illinois is a legal question, not a listing slogan. Expect the buyer to want one. Expect your attorney to tell you what will hold. Do not draft it on a napkin after the walkthrough. Holdbacks and escrows often sit next to that paper. See holdbacks.
Allocation still matters. A competitor buying assets will care about goodwill versus equipment versus the covenant. IRS Form 8594 is the public bookmark. Educational, not tax advice. See asset allocation and net proceeds.
Quiet first call, staged file, a second buyer if we can find one
We start quiet. Identity after paper. Customer-level files after a real LOI. If we can put a second buyer in the process — another operator, an SBA buyer, a platform — we will. Forty-four percent of sellers in the Q4 2025 report wanted speed; 28 percent wanted top dollar. A competitor can serve either. A second number is how you know which one you got.
Success fee only. No listing retainer. Book /contact. Bring a sense of who the neighboring operator is and whether they have already asked casual questions. Do not upload the customer list to a portal. We will tell you whether to take the first call ourselves.
If the competitor is the only plausible buyer and the file is not a going concern, you may be in an asset conversation. See unprofitable businesses and sell or close. We will not dress a parts-and-trucks sale in a 2.7× cash-flow multiple from a marketplace report about businesses that had cash flow. Noncompetes, customer-list staging, and a second buyer — even a quiet SBA operator — are how you keep the neighboring shop from pricing your route as salvage. Book /contact before the Saturday walkthrough.
