How much can I sell my roofing business for in Illinois?
Storm years inflate SDE. Buyers recast them. Price the crew, the insurance relationships, and the non-storm work — not last summer’s hail.
Confidential • No upfront fees • Illinois statewide
A licensed-broker view of value — not a listing-site guess
Illinois roofing companies confuse owners because a hail year can double revenue and a quiet year can feel like the business disappeared. Buyers know that. They will recast storm restoration toward a normalized year unless you have a retail and insurance-repair mix that repeats without weather luck.
Planning range: 2.5x–4x SDE and 5–10 months. That is wider than HVAC because storm volatility is real. A collar-county retail reroof shop with crew continuity is not the same asset as a storm-chasing model that follows claims across state lines.
BizBuySell’s Q2 2026 median sale of $349,250 is a market-wide figure. Many Illinois roofers sit above it on revenue and still sell on a cautious multiple because buyers do not want to pay for a cloud.
Industry planning notes on this site: 2.5x–4x SDE, typical process 5–10 months. Those are planning ranges from our Roofing Companies hub, not a quote.
Enter your annual Seller's Discretionary Earnings (SDE) — your net profit plus owner's salary and any personal expenses run through the business — to estimate a range.
This is an estimate for planning purposes only. Actual value depends on lease terms, asset quality, customer concentration, and current market conditions. Request a professional valuation for a precise number.
Roofing buyers: platforms, GCs, and crew owners
SBA and owner-operator lenders
SBA buyers need a licensed contractor story and a pipeline that is not 80% one storm. They will ask about workers’ compensation, vehicle insurance, and whether subcontractors are actually 1099s that a lender will reject. They like manufacturer certifications when they transfer.
Private equity and platforms
Exterior and home-services platforms buy roofing when retail mix, insurance relationships, and a sales process exist without the seller on every ladder. They will diligence claim practices. A PE letter that underwrites the biggest storm year as ‘the new normal’ needs a red-pen review.
Owner-operators next door
Another roofer or a GC who wants a roofing division still closes many Illinois deals. They buy crews and insurance-adjuster relationships. They discount a salesperson-owner who is the only person who can sit at a kitchen table and close.
If you also own a siding or gutter add-on, say whether it is the same crew and the same customers. Buyers will unbundle it if you do not.
Normalize the storm before you pick a multiple
A three-year average that still includes an outlier hail year will get recast. Bring the recast yourself.
- Retail reroof versus storm restoration versus new-construction
- Crew size, subcontractor dependence, and who holds the insurance relationships
- Manufacturer certifications and warranty transferability
- Vehicle and equipment condition versus leased lifts
- Working capital tied up in jobs and manufacturer credit lines
Hypothetical: Year 1 SDE $180k, Year 2 (hail) $420k, Year 3 $200k. A buyer may underwrite $200–220k, not $266k. If you list on $420k, you will meet the 155-day Service median the hard way.
Illinois roofing: licenses, lead, and Bulk Sales
Contractor registration, municipal licenses, and home-repair consumer rules in Illinois are not paperwork you handle after the wire. Lead-safe work practices and workers’ compensation history show up in diligence. The seller’s personal license does not automatically move.
Material inventory, leftover storm jobs, and manufacturer credit lines create Bulk Sales and working-capital fights. Landlord consent on a shop and yard is often the slow item. Secretary of State filings matter if the buyer wants the entity that holds the manufacturer number.
Manufacturer credit lines feel like free working capital until the buyer’s peg treats them as debt. Know what you actually owe the supplier on the day you sign an LOI. Storm years hide that number under a pile of jobs. Quiet years reveal it.
Kitchen-table sales cultures do not transfer because you wrote a playbook the weekend before listing. If you are the only person who can sit in a living room and close, the buyer is buying you. Price the transition honestly or spend a year building a salesperson who is not you.
Workers’ compensation and 1099 habits in Illinois roofing are diligence magnets. Platforms have been burned. They will ask. A clean file shortens the deal more than a new website. A messy file is how a hail-year multiple becomes a quiet-year conversation.
Home-repair consumer rules in Illinois are not a footnote you handle after the wire. Platforms have checklists. Independent buyers have attorneys who just discovered the checklist. Put the file in order so neither uses it as a chip.
A second location or a gutter add-on needs its own sentence in the teaser. Buyers unbundle. If you do not, they will, and the number you loved will move while you are exclusive.
Storm-chasing across state lines is a different company than a collar-county retail reroof shop. Buyers who want a local platform will recast the travel. Buyers who want a storm model will ask where the trucks sleep. Say which you are in the first paragraph of the recast.
A kitchen-table closer who is also the estimator and the safety officer is three jobs. Price the three transitions or spend a year replacing one of them. Listing all three as “the culture” is how a 5–10 month plan becomes a relist.
Educational only — not legal or tax advice. Confirm Bulk Sales, Secretary of State filings, license transfers, and lease assignment with counsel and a CPA. We work on a success fee with no upfront listing fee.
Illinois roofing buyers underwrite retail work and who is the qualifying party
A roofing buyer in Illinois is buying a license, a crew that shows up, and a mix of retail reroof versus storm or insurance work they can defend. Storm years look like genius on a tax return and like a hangover in diligence. Retail relationships with adjusters and homeowners that repeat without hail are the quality story. The IDFPR qualifying party is the legal story. Miss either one and the multiple conversation is theater.
SBA lenders want a licensed path on day one and a backlog that is real, not a pile of unsigned estimates. They will ask about workers’ compensation, fall protection, and whether subcontractors are the company. Platforms buy density and a production manager who is not the seller. Owner-operators — a superintendent with a lender, or a neighboring roofer — still close many Illinois files. They will walk a job and ask who the homeowners actually call.
We recast SDE and will not invent a house roofing multiple on this page. BizBuySell’s 2.7× cash-flow average and $692,087 median revenue are market-wide context. If a roll-up letter arrived after a storm season, read /private-equity-offer/roofing before you treat the headline as cash. Recast first at /contact.
IDFPR roofing license, yard lease, Bulk Sales, and SOS
The IDFPR roofing contractor license and the qualifying-party designation are people-and-entity issues, not logo issues. If the seller is the only qualifying party, the buyer needs a replacement the Department will accept. Municipal contractor registrations pile on top. None of this is “included in goodwill.”
Materials, dump trailers, and shop equipment can trigger CBS-1 at least ten business days before transfer. The yard lease — overnight parking, dumpsters, neighbor complaints — is often slower than job-site diligence. Landlord assignment belongs in the LOI checklist. Retainage and open warranties are working-capital and liability conversations, not afterthoughts.
Stock sales or a buyer who wants the exact company name open a Secretary of State workstream. Counsel decides the structure. We keep the checklist and the buyer conversation confidential. Success fee, no upfront listing fee. Educational, not legal advice.
Recast roofing SDE without the hail-year costume
Split storm or insurance work from retail reroof and from small repairs before you argue about earnings quality. Owner production that a superintendent must replace is a wage. A one-time crew-bonus year and a truck that was also a cabin trip need footnotes. Adding unused material at retail on top of a cash-flow multiple is how roofing recasts get thrown out.
Backlog is only backlog if it is contracted. A folder of estimates is a marketing packet. Warranty reserves and callback history are real liabilities. Customer concentration in one adjuster or one property manager is a risk line. Crew tenure through August is an earnings-quality line. Buyers will test all four.
We will not invent a house multiple to flatten a storm year. A planning conversation uses market-wide BizBuySell context and then talks risk. Your CPA owns tax and Form 8594. The SBA close-or-sell guide is owner education, not a closing checklist.
What a roofing model should not invent
A model should not invent a hail-county multiple, a house roofing quote, or a promise that IDFPR moves with the trucks. It should not treat 155 Service days as your close date. License, lease, and season dominate. See /how-long-to-sell/roofing for the sequence.
Use /industries/roofing-companies for industry notes on this site. Use /net-proceeds-illinois before you spend a storm-year number. If you are tired and considering a cheap public listing, remember that roofing crews read those ads. Confidential outreach is the default.
Bring the license, qualifying-party paperwork, three years of returns, and open-job list to the consult. No upload portal. No upfront listing fee. Educational, not legal or tax advice. The CTA is /contact. If last year was a hail year, split that work from retail before we talk about a range, or the first buyer meeting will do it for you.

They normalize it. Bring a recast. Do not argue that every year will be last year’s hail.
Planning range 2.5x–4x SDE on a normalized year. Market-wide BizBuySell cash-flow multiple was 2.7× in Q2 2026.
Yes. Expect the buyer to average. Selling immediately after a spike without a recast is how price cuts happen in public.
Some do, when retail mix and management exist. Many sales still close to another contractor.
Bulk Sales, license/registration, lease assignment, and consumer home-repair rules. Counsel, not a listing template.
Success fee. No upfront listing fee. /contact.
Not automatically. The qualifying party sits on the license. If that person is the seller, the buyer needs an IDFPR-acceptable replacement before trucks roll under a new name. Map it before you pick a price. We coordinate the sale process from /contact.
You can, but buyers will recast the storm out of SDE unless retail work supports the number. A hangover year after a spike is a common fight. We will not invent a house multiple to paper over hail. Read /how-long-to-sell/roofing for timing.
Illinois bulk-sale notice, at least ten business days before materials and equipment transfer when Bulk Sales applies. Counsel files it. We put it on the checklist next to the IDFPR qualifying-party path. Success fee only — /business-broker-fees. Educational only — not legal advice.
