Can I sell my Illinois business if it still has debt?
Almost every sale has a payoff. The work is mapping liens, personal guarantees, and whether proceeds clear them. Debt is not a moral failing. An unmapped UCC filing is a closing problem.

Buyers underwrite cash flow. Closings underwrite liens.
Owners whisper about debt as if it disqualifies a sale. It does not. Equipment notes, SBA guarantees, and a line of credit are ordinary. What disqualifies a close is a surprise lien, a landlord who is also a creditor, or a payoff that exceeds any honest price. BizBuySell’s Q2 2026 Insight Report put the reported median sale at $349,250. A hypothetical shop at that median with $200,000 of equipment debt is a different net than a debt-free peer. The multiple does not care. Your checking account does.
Thirty-five percent of owners in that report had no idea of value. Debt-heavy owners are often in that group because they avoid the recast. A recast plus a payoff statement is the adult pair. Use the net-proceeds worksheet and put the real payoff in the debt field.
SBA-financed buyers and SBA-indebted sellers both have extra paper. SBA 7(a) overview. Change-of-ownership and payoff rules are lender-specific. We coordinate. We do not speak for the SBA.
Four debt questions before you pick a list price
1. What must be paid at close?
UCC filings, tax liens, and loans with due-on-sale language. Get written payoffs. Prepayment penalties are real.
2. What could a buyer assume?
Only with the lender’s consent. “Assume” in a hallway is not consent. Equipment lessors are not sentimental.
3. What follows you personally?
Guarantees do not vanish because the asset purchase agreement says “buyer takes assets.” Release is a lender document.
4. Does Illinois Bulk Sales still apply?
Yes, when the transfer is a bulk asset sale. Creditors and the Department of Revenue have a process. Bulk Sales. Educational, not legal advice.

Most Illinois sales have a payoff. The work is mapping who gets paid.
You can sell an Illinois business that still has debt. Most do. The question is whether proceeds and structure can pay the debt you must clear, and whether any liens follow the assets. Lenders and landlords have notices. Counsel reads them. Debt is not a moral failing. An unmapped UCC filing is a closing problem.
Sometimes the buyer assumes loans, with the lender’s consent. Often the seller pays off debt at close from proceeds. Do not assume “assume” means automatic. SBA and equipment lenders have their own rules. Read the 7(a) overview as the public starting point, then read your actual notes. Personal guarantees do not vanish because the asset purchase agreement is signed.
BizBuySell’s Q2 2026 median sale of $349,250 is marketplace context. On that median, a $80,000 equipment note is not a rounding error. Model payoffs before you pick a multiple. Use the net-proceeds worksheet and put the payoff in the debt field. Confirm with your lender and CPA.
Write the path. Do not leave it in a hallway verb.
Assumed debt can help a buyer’s cash at close and can keep a relationship with an equipment lender who already knows the collateral. It requires consent, often a new guarantee, and a credit decision that is not your listing agreement. Paid-off debt is cleaner for a buyer and dollar-for-dollar painful for you, plus any prepayment penalty. Both are normal. Mixing them in one sentence is how closings slip.
Seller notes are not a way around senior debt. A seller note is junior to senior lenders unless they agree otherwise. It can help a buyer’s cash. It cannot magic away a UCC filing. See owner financing and seller-financing tradeoffs. Write seniority. Do not smile it.
If debt is larger than the business is worth, you may be in a short-sale, a recapitalization, or a wind-down — not a standard listing. See sell or close and unprofitable businesses. We will not advertise a multiple that ignores the lien.
New 7(a) money still has to live next to old paper
A buyer’s SBA loan does not automatically wrap your existing SBA or bank debt. Refinances, payoffs, and eligibility rules sit with the lender. Related-party sales — family, employees — get more paper, not less. See family and employees. Expect the lender to ask questions a third-party sale would not.
Allocation still sits on the tax side. IRS Form 8594 instructions cover how purchase price is allocated among asset classes. Assumed liabilities and payoffs change what is left to allocate. Topic 409 is the capital-gains overview. Educational, not a CPA letter. See asset allocation.
Bulk Sales and landlords still apply. A lender payoff letter does not assign the lease. CBS-1 still wants ten business days when the statute applies. Map the lien, the landlord, and the license before you promise a close date. See how long a sale takes.
If we can see a path to a clean close. Not if the math is theater.
If we can see a path to a clean close, yes. If the math does not work, we will say so. Consult at /contact. Success fee, no listing retainer. Bring payoff statements to the call — do not upload them to a portal. A stack of statements on the desk is more useful than a hallway total.
The same Q2 2026 report found 35 percent of owners had no idea of value. Debt-heavy owners often skip the recast because they are afraid of the number. The number is how you decide between a listing, a recapitalization, and a wind-down. Valuation first. An unmapped UCC, a personal guarantee you forgot, and a prepayment penalty are the three surprises that turn a “simple payoff” into a delayed close. Map them before the LOI, not in escrow week.
Fee language still matters. Your listing agreement should say whether the success fee applies to cash, notes, and assumed debt. Handshake math is how fee disputes start. See fees. We work on a success fee. We do not take a retainer to list a lien. Bring the payoff letters, the UCC search your counsel already ran, and a sentence about personal guarantees. Those three items decide whether this is a listing, a recapitalization, or a creditor conversation.
