Sell the Illinois business — or close it?
Those are different jobs. A sale needs a buyer who believes the cash flow or the assets will survive you. A close needs a wind-down plan, creditors, and tax. Do not run both in public at once.

If it dies when you leave, you may be selling furniture
Owners say “I’ll just close” when they are tired, when a lease is ugly, or when a child said no. Sometimes that is the adult move. Sometimes it is a recast they never ran. BizBuySell’s Q2 2026 Insight Report found 35% of owners had no idea of value and only 14% used a professional valuation. “It won’t sell” is often “I priced it like a company and it is a job.”
A sale is the right fork when there is transferable work: contracts, a crew, a patient or client file, a lease that can assign, a license path for a buyer. A close is the right fork when the only assets are used equipment and a name nobody will pay for. In between sits an asset sale that is honest about goodwill being thin. That is still a process — just a smaller one. See why most businesses never sell.
The Exit Planning Institute’s 5% figure on documented exit teams (EPI) is visible here. Owners who skip counsel on a wind-down create personal-guarantee and tax surprises that a messy “sale” would have shown earlier. Educational — not legal advice.
Sale checklist versus close checklist
If you sell
Recast, NDA, buyer screen, LOI, lease, licenses, Bulk Sales when it applies, allocation, escrow. See sell-side process and DIY path.
If you close
Final tax returns, sales-tax and payroll accounts, lease termination or remaining term, equipment liquidation, personal guarantees, and Illinois dissolution filings with the Secretary of State. Counsel. Not a Facebook post.
IRS general guidance: selling a business and your CPA for a wind-down. Related: unprofitable businesses, selling with debt, is it time, net proceeds.
If a sale is real, we work on a success fee with no upfront listing fee. If it is a close, we will say so on the consult rather than take a listing to advertise hope.
A going-concern sale is not a wind-down with extra paperwork
Closing is smarter than selling when there is no transferable cash flow, the lease cannot assign, the license cannot move, and asset value is the only honest number. Selling a job that dies without you is possible — it is usually a wind-down with extra legal bills. The SBA’s close-or-sell guide treats those as different owner paths. So do we.
An unprofitable business can still sell sometimes, as assets, a license, a lease, or a customer list. See sell an unprofitable business. Do not advertise a multiple on negative seller’s discretionary earnings. The IBBA glossary definition of SDE assumes there is discretionary earnings. Marketplace medians — $349,250 sale, 2.7× cash flow in Q2 2026 — describe reported closed deals, not a promise for a loss year.
Owners who skip a recast often conclude “it will not sell” when they mean “I will not price the assets honestly.” The same Q2 report found 35 percent of owners had no idea of value. See why most businesses never sell. A confidential test of a sale is cheaper than a public closing announcement you cannot unwind.
Taxes, creditors, and Illinois filings still exist
Closing does not avoid tax and creditor issues. Winding down has its own Illinois and federal work. Counsel and a CPA. This page is educational, not legal advice. The IRS page on selling a business is still a useful bookmark if you sell assets on the way out. Topic 409 is the capital-gains overview, not a combined Illinois rate.
Bulk Sales can still apply if you transfer inventory and equipment in bulk even as you wind down. CBS-1 still wants ten business days when the statute applies. Secretary of State dissolutions and final reports are a different stack from a going-concern stock sale. Do not mix the checklists because you are tired.
Employees, landlords, and vendors still need a sequence. A Friday rumor that you are “closing or selling, not sure” is how bays go empty and how the landlord stops returning calls. Test a confidential sale first if there is a plausible buyer. See how a sale process starts.
An honest asset sale is not a fake going-concern listing
An asset sale can be the middle path: equipment, a lease that still has value, a license path, a customer list a competitor will pay for. Price those items. Do not dress them in a 2.7× cash-flow multiple from a marketplace report about businesses that had cash flow. See competitor sales when the only buyer is the neighboring operator.
Debt changes the fork. If liens exceed honest asset value, you may be in a short-sale, a recapitalization, or a creditor conversation — not a standard listing. See selling with debt. We will not advertise a multiple that ignores the UCC filing.
Family pressure to “keep it open” is not a going concern. If the next generation does not want the trucks and no outsider will pay for the cash flow, write the wind-down. See family. A last name does not create SDE.
We will say when a listing would be theater
We will take a listing that should be a wind-down? No. We will say so on the consult. Success fee only if there is a real process. We do not take listing retainers to advertise hope. Book /contact. Bring a sense of whether anyone would run this on Monday without you.
If a sale is real, the rest of the Illinois stack still applies: NDAs, recast, lease, licenses, Bulk Sales, net proceeds. If a sale is not real, spend the attorney time on the wind-down, not on a CIM. The SBA guide is the public starting point; your counsel is the local one. Closing the doors does not erase creditor notices or the IRS questions that appear when you sell assets on the way out.
Forty-four percent of sellers in the Q4 2025 report wanted speed or lower stress. A clean wind-down can be faster than a fantasy listing. Speed is not a reason to skip the honest fork. If the only honest product is equipment, a lease, or a list a competitor will pay for, say that out loud before anyone drafts a going-concern teaser. Theater listings waste counsel time you will need for the wind-down.
