No invented multiples

Can I sell an unprofitable Illinois business?

You can sell something. You cannot honestly sell a cash-flow multiple on negative cash flow. Price assets, the lease, the license path, or a turnaround a buyer believes — or close. Do not mix those stories in one ad.

Losses do not make the file worthless. They change what you are selling.

Owners of losing shops still have trucks, a lease, a phone number, and sometimes a customer list that a better operator could keep. Those are products. A 3× multiple on last year’s loss is not a product. BizBuySell’s Q2 2026 Insight Report published a $349,250 median sale and a 2.7× cash-flow multiple on reported closed deals. That is the opposite of a template for negative SDE. Using it as an asking price is how the ad becomes a joke.

Thirty-five percent of owners in that report had no idea of value. Unprofitable owners are over-represented in that group because they avoid the recast. A recast that still shows a loss is useful. It tells you to sell iron, assign a lease, or wind down. See sell or close.

EPI’s 27% formal-valuation figure (EPI) is the minority. If you have never had a third party look at the file, do that before you liquidate in a weekend panic. A two-hour consult is cheaper than a bad auction.

Four honest packages

Hard assets

Equipment, vehicles, inventory at a liquidation-aware number. Bulk Sales can still apply on a bulk transfer. Bulk Sales.

Lease and location

A below-market assignable lease in the right village can be the deal. A toxic lease is a liability. Lease assignment.

License or book

A transferable book or a license path a buyer can land. Person-based licenses do not ride along because you are sad.

Turnaround (rare)

A buyer who believes they can fix operations. They will demand a cheap entry and a heavy transition. Do not call it a premium multiple.

Buyers will not pay a cash-flow multiple on negative cash flow

You can sometimes sell a business that is losing money. Buyers will not pay an SDE multiple on negative SDE. They may pay for assets, a lease, a license path, a customer list, or a turnaround they believe they can run. Price the actual product. The IBBA glossary definition of seller’s discretionary earnings assumes there are discretionary earnings. Inventing them in a teaser is how diligence ends early.

BizBuySell’s Q2 2026 median sale of $349,250 and 2.7× cash-flow multiple describe reported closed deals, not a promise for a negative-earnings file. Do not use them as an asking price. Median cash flow in that report was $155,921 and median revenue $692,087 — context for going concerns, not a loss-year appraisal.

Add-backs are not magic. A legitimate add-back is an owner expense that will not recur for a buyer. A hope that “once I am gone the overtime stops” is not an add-back. Recast honestly or do not recast. See recasting and valuation.

Say which one you are selling before you write the teaser

A going-concern sale needs transferable cash flow. An asset sale needs honest equipment, a lease someone wants, a license path, or a book a competitor will pay for. Mixing the two in one listing is how you attract the wrong buyer and insult the right one. See sell or close if you are already on the wind-down fork.

Should you wait until you are profitable to list? If ninety days of cleanup can show a real run-rate, waiting can be rational. If losses are structural, waiting donates cash. See is it time. Cleanup that only lives in a spreadsheet is not a run-rate.

Do not run a public “for sale” and a public “going out of business” at the same time. Employees, vendors, and landlords will pick the louder sentence. Confidential outreach first if there is a plausible buyer. A public closing banner is hard to unwind. If the only buyer is a competitor who wants the trucks and the list, price those items. Do not dress a loss year in a marketplace cash-flow multiple that was published about businesses that had cash flow.

SBA is not an automatic no. It is also not an automatic yes.

Lenders underwrite cash flow and collateral. A loss year is not an automatic decline, and it is not an automatic approval. Read the SBA 7(a) overview and expect more equity, more seller paper, or a different structure. A seller note on a loss year is junior risk. Write it like risk, not like a favor. See owner financing.

Debt on the same file makes the math tighter. If liens exceed honest asset value, you may be outside a standard listing. See selling with debt. We will not advertise a multiple that ignores the UCC.

Allocation still matters on an asset sale. Form 8594 and IRC 1060 are CPA and counsel work. The IRS 8594 instructions are the public bookmark. Educational, not tax advice. A loss year does not make allocation optional.

If there is an honest product. Not if there is only a slogan.

If there is an honest product — assets, lease, book — we will talk process. We will not invent a multiple. Consult at /contact. Success fee, no listing retainer. Bring a sense of what a competitor would pay for the trucks and the route, not what you need to clear a credit line.

The same Q2 2026 report found 35 percent of owners had no idea of value. Loss-year owners often live there because they stopped looking. An honest asset schedule is still a number. See inventory valuation and why most businesses never sell.

If the only path is a wind-down, spend the attorney time there. The SBA close-or-sell guide is the public sequence. We will say which fork you are on. We will not take a retainer to list hope. Add-backs that recast a structural loss into a hallway multiple are how unprofitable files die in week two of diligence. If the overtime, the owner’s truck, and the “once I am gone” line are the only earnings, you are selling assets. Price assets.
