45% retirement motive · 5% have an exit team

Should I sell my Illinois business and retire?

Retirement is the most-cited seller motive in the latest BizBuySell marketplace report. Most owners still do not have a valuation or an exit team. Start with readiness and after-tax proceeds — not with a listing photo.

Wanting out is not the same as being sellable

BizBuySell’s Q2 2026 Insight Report attributed 45% of seller motives to retirement. That matches what we hear on Illinois calls. The same report found 35% of owners had no idea of value and only 14% used a professional valuation. Wanting to retire into a number you have not recast is how people list high, cut twice, and stay another winter.

The Exit Planning Institute’s generational work is bleaker on preparation: 27% of Boomer owners have completed a formal valuation and 5% have a documented exit team. EPI generational readiness. If your team is a tax preparer and a golf friend, you are in the 95%. That is normal. It is not a plan.

Illinois retirement sales still run through Bulk Sales when the asset sale triggers it, Secretary of State filings when the entity moves, license transfers that sit with people, and a landlord who must consent. None of those items care that you already booked a flight. Educational — not legal or tax advice. See the Boomer exit wave and life after the sale.

Readiness (higher is more prepared) —

Proceeds, not enterprise value, fund the next decade

Model cash after tax

A hypothetical $1 million headline minus fee, debt, holdback, and a tax reserve is not $1 million. Use the Illinois worksheet and replace the slider with a CPA estimate. See IRS: selling a business.

Model the transition

Buyers often want you for a season. If “retire” means “gone in 30 days,” say so before you shop PE letters. See offer review and timelines.

Retirement is the most-cited motive. Formal valuation is not.

Retirement is the most common seller motive in BizBuySell’s Q2 2026 Insight Report: 45 percent. That is a marketplace figure, not a rule that you must sell this year. The Exit Planning Institute reports that 27 percent of Boomer owners have a formal valuation and 5 percent have a documented exit team. If you only have a CPA who does your taxes, you are in the majority — and you are under-prepared.

Owners confuse a birthday with a closing date. Buyers want a business that survives the handoff. Employment is often part of price. You may be asked to stay 6–24 months. “I want to be gone by Christmas” is a lifestyle sentence. It is not a diligence calendar. See how long a sale takes. Service businesses showed a 155-day median days on market in that same Q2 report — listing time, not a full close.

Start with readiness and after-tax proceeds, not with a listing photo. A range, then net proceeds, then a conversation about whether the number funds the life you want. A higher asking price that never closes does not fund retirement.

Books, lease, licenses, and a business that is not only you

Wanting out is necessary. Clean books, an assignable lease, and a shop that is not a personality cult are what make “time” into a close. Owner dependence is the quiet multiple killer. If every customer calls your cell, the buyer is purchasing a job with a transition risk. See reducing owner dependency and is it time to sell.

The same Q2 2026 report found 35 percent of owners had no idea of value and only 14 percent used a professional valuation. Retirement planning on a hallway multiple is how people discover — in diligence — that the number does not clear the mortgage and the tax reserve. Use the worksheet. Then a CPA. This is not tax advice. Federal bookmarks: selling a business and Topic 409.

If you cannot live on the after-tax proceeds, you have a lifestyle problem, not a listing problem. Waiting while you recast and fix the lease is how the multiple holds. Waiting while owner dependency rises is how it falls. See the year-stamped 2026 page — we will not invent a “better year” statistic.

Bulk Sales, SOS, and a landlord who has not retired with you

A retirement sale is still an Illinois sale. Bulk Sales can still apply. CBS-1 still wants ten business days when the statute applies. Secretary of State filings still follow structure. Person-based licenses still sit with you. The buyer cannot inherit your contractor registration because you bought a condo in Florida.

If the real buyer is family or the crew, write the number anyway. Kitchen-table retirement sales are how siblings and managers end up in court. See family and employees. Loyalty is not a closing statement. The SBA 7(a) path still has related-party issues when the buyer is inside the building.

Longer TIBB context: the Boomer exit wave and life after the sale. The wave is a multi-year story, not a single calendar trick.

Forty-four percent of sellers in BizBuySell’s Q4 2025 report prioritized a fast or low-stress sale versus 28 percent who wanted top dollar. Retirement sellers often live in the 44 percent. That preference is a structure choice — more certainty, maybe a note, maybe a longer handoff — not a reason to skip the recast.

If the file is not a going concern, retirement does not turn it into one. See sell or close and unprofitable businesses. We will say so on the call. A wind-down can still be the honest path to the date you want.
